Job Summary:

The Associate Counsel provides in-house legal support and guidance across the Company's business operations, including commercial contracting, marketing, employment, vendor relationships, consumer matters, and general corporate legal matters. This position drafts, reviews, and negotiates agreements; advises business teams regarding legal risk and liability; conducts legal research; develops and maintains legal resources and consumer-facing policies; and coordinates with outside counsel as appropriate. The role partners cross-functionally with Sales, Marketing, Operations, Human Resources, Compliance, and other departments to support business objectives while identifying and mitigating legal and regulatory risk.

General Duties and Responsibilities:

  • Draft, prepare, review, revise, and assist in negotiating commercial contracts and other legal documents, including master service agreements, vendor and service agreements, marketing and public relations agreements, employment-related agreements, waivers, consents, and legal correspondence.
  • Review proposed contractual terms and identify legal, commercial, operational, and compliance risks requiring modification, escalation, or additional review.
  • Partner with Sales, Marketing, Operations, Human Resources, Compliance, and other business functions to understand business objectives and provide practical legal guidance.
  • Anticipate, identify, evaluate, and assist in managing areas of potential liability, legal exposure, contractual risk, and regulatory risk.
  • Provide legal support regarding commercial transactions, business initiatives, marketing activities, employment matters, vendor relationships, and other operational matters.
  • Conduct legal research regarding federal, state, and local laws, regulations, administrative guidance, and other legal requirements affecting the Company's operations and business plans.
  • Prepare legal memoranda, summaries, recommendations, and other written analyses regarding legal and regulatory matters.
  • Develop, review, and maintain standardized contract templates, legal forms, contract provisions, and other legal resources.
  • Develop and maintain terms of service, privacy policies, FAQs, disclosures, and other consumer-facing legal policies and materials.
  • Review business practices, communications, and proposed initiatives for potential legal and regulatory concerns and recommend appropriate risk-mitigation measures.
  • Assist with the development, implementation, and maintenance of legal policies, procedures, and internal guidance.
  • Coordinate with outside counsel on litigation, specialized legal matters, regulatory matters, transactions, or other issues requiring external legal expertise.
  • Assist in gathering information and documentation requested by outside counsel and internal stakeholders in connection with legal matters.
  • Maintain appropriate legal files, agreements, correspondence, research, and other legal documentation.
  • Monitor relevant legal and regulatory developments and communicate potential business implications to appropriate stakeholders.
  • Participate in special projects and cross-functional initiatives requiring legal support.
  • Maintain the confidentiality and privilege of legal communications and sensitive company information.
  • Perform other related duties as assigned in support of the Company's business and legal needs.

Supervisory Responsibilities:

  • This job has no supervisory responsibilities.

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school required.
  • Minimum of 1 year of relevant experience in a law firm, corporate legal department, or combination thereof, preferably in eMobility, consumer electronics, or powersports.
  • Experience drafting, reviewing, and negotiating commercial contracts, including vendor, service, marketing, and other business agreements.
  • Experience advising business stakeholders regarding contractual risk, legal exposure, and risk-mitigation strategies.
  • Working knowledge of commercial contracting, corporate law, employment-related legal matters, privacy and consumer-facing requirements, and general business law.
  • Demonstrated legal research and writing skills, including experience preparing legal memoranda, policies, correspondence, and other legal analyses.
  • Ability to translate complex legal requirements into practical and understandable guidance for non-legal business stakeholders.
  • Strong contract drafting, negotiation, legal research, analytical, and problem-solving skills.
  • Strong organizational skills with the ability to manage multiple legal matters, deadlines, and business priorities simultaneously.
  • Sound professional judgment and ability to recognize matters requiring escalation or specialized outside counsel.
  • Ability to maintain attorney-client privilege, confidentiality, and appropriate professional standards.
  • Experience supporting consumer products, powersports, automotive, mobility, manufacturing, retail, or other regulated product industries preferred.
  • Strategic thinker with a high degree of ownership, execution capability, and a results-oriented approach.
  • Experience working in a multinational company within an international team is a plus.
  • Bilingual in English and Mandarin is a plus.

Physical Demands:

This position operates primarily in a professional office environment and requires prolonged periods of sitting, computer use, reviewing and preparing legal documents, conducting research, and participating in meetings and communications with internal and external stakeholders. The position requires the ability to communicate effectively, review detailed written materials, and use standard office and business technology. Occasional travel may be required for meetings, legal matters, or other business purposes.
